This Privacy Policy describes the privacy practices of Zenode Inc ("Zenode", "we", "us", or "our") in relation to personal information we collect through our website (https://www.zenode.ai and marketing initiatives, third-parties, and interactions with you, in connection with providing our AI copilot tool for assisting electrical engineers in hardware design (collectively, the “Services”).


Zenode is the controller of your personal information under this Privacy Policy, which means we are responsible for your personal information.


This Privacy Policy explains (1) what personal information we collect, (2) how we use and share that information, and (3) your choices concerning our privacy and information practices.



Personal information we collect


Information you provide to us:


  • Account information, such as your name, email address, password, profession and other similar information if you decide to register an account with us to access our Services. This includes your account settings and profile information.

  • Transaction information, such as your credit card or other payment information and authentication details when you purchase a paid subscription to use the Services. We do not directly process your credit card information and instead rely on our payment processors to do so.

  • Contact information and communications, such as your name, contact information (e.g. phone number and email address), any other information you choose to provide, and the content of your communications with us, whether by web forms, phone, email, social media, post or other means.

  • Usage information, such as information about how you use the Services and interact with us.

  • Marketing information, such as your preferences for receiving communications about our activities, services, and publications, and details about how you engage with our communications.

  • Suppliers/Partners and representatives, such as your name, company, job role, contact information and the content of your communications with us when you enter into a supplier or partnership agreement with us, or act as a representative of one of our suppliers or partners.

  • Other information that we may collect which is not specifically listed here, but which we will use in accordance with this Privacy Policy or as otherwise disclosed at the time of collection.

Information we obtain from third parties. We may maintain pages on social media platforms, such as Facebook, X, Linkedin, Instagram, and other third-party platforms. When you visit or interact with our pages on those platforms, the platform provider’s privacy policy will apply to your interactions and their collection, use and processing of your personal information. You or the platforms may provide us with information through the platform, and we will treat such information in accordance with this Privacy Policy. We may obtain your personal information from other third parties, such as marketing partners, publicly-available sources and data providers.


Automatic data collection. We and our service providers may automatically log information about you, your computer or mobile device, and your interaction over time with our Services, our communications and other online services, such as:


  • Device data, such as your computer’s or mobile device’s operating system type and version, manufacturer and model, browser type, screen resolution, RAM and disk size, CPU usage, device type (e.g., phone, tablet), IP address, unique identifiers (including identifiers used for advertising purposes), language settings, mobile device carrier, radio/network information (e.g., WiFi, LTE, 4G), and general location information such as city, state or geographic area.

  • Online activity data, such as pages or screens you viewed, how long you spent on a page or screen, browsing history, navigation paths between pages or screens, information about your activity on a page or screen, access times, and duration of access, and whether you have opened our marketing emails or clicked links within them.

  • Email Open/Click Information. We may use pixels in our email campaigns that allow us to collect your email and IP address as well as the date and time you open an email or click on any links in the email that we may send to you.

We use the following tools for automatic data collection:


  • Cookies, which are text files that websites store on a visitor’s device to uniquely identify the visitor’s browser or to store information or settings in the browser for the purpose of helping you navigate between pages efficiently, remembering your preferences, enabling functionality, helping us understand user activity and patterns, and facilitating online advertising.

  • Local storage technologies, like HTML5, that provide cookie-equivalent functionality but can store larger amounts of data, including on your device outside of your browser in connection with specific applications.

  • Web beacons, also known as pixel tags or clear GIFs, which are used to demonstrate that a webpage or email was accessed or opened, or that certain content was viewed or clicked.

How we use your personal information


Provide our Services. It is in our legitimate business interest to use personal information to operate, maintain, and provide you with our Services, including ensuring you can use our websites and our AI copilot tool. Where we have entered into a contract with you, we will use your personal information as required to perform our contractual obligations, including under our Terms of Service.


Communicate with you about our Services. It is in our legitimate business interests to use personal information to respond to your requests, questions and feedback, and to communicate with you about our Services and the Site where appropriate, including by sending you announcements, updates, security alerts, and support and administrative messages.


Improve, monitor, personalize, and protect our Services. It is in our legitimate business interests to improve and keep our Services safe for our users, which includes: (i) understanding user needs and interests, and personalising user experience with our websites and our communications; (ii) troubleshooting, testing and research and to keep our Services secure; and (iii) investigating and protecting against fraudulent, harmful, unauthorized or illegal activity.


Marketing and advertising.


  • Direct marketing. We may from time-to-time send you direct marketing communications we think may be of interest to you as permitted by law, including, but not limited to, notifying you of special promotions, offers and events via email. You may opt out of our marketing communications as described in the “Opt out of marketing communications” section below. We will only send you marketing communications if you consent to receiving these communications or if we are permitted to send these communications under law in our legitimate business interests.

  • Interest-based advertising. We engage our advertising partners, including third party advertising companies and social media companies, to display ads around the web. These companies may use cookies and similar technologies to collect information (including the automatically-collected data described above) about your interactions over time across our Services, our communications, and other online services, and use that information to serve online ads that may interest you. Where required by law we will undertake such advertising activities on the basis of your consent, otherwise we will do so only if it is in our legitimate business interests to undertake such activities.

For research and development. We may use your personal information for research and development purposes in our legitimate business interests, including to analyze and improve our Services and our business. As part of these activities, we may create aggregated, de-identified, or other anonymous data from personal information we collect. We make personal information into anonymous data by removing information that makes the data personally identifiable to you. We may use this anonymous data and share it with third parties for our lawful business purposes, including to analyze and improve our Services and promote our business.


Supplier and Partner relationships. Where you are a supplier or partner, or a representative of a supplier or partner, it is in our legitimate business interests to use your personal information to contact you and to manage our relationship with you and/or your company. If we have entered into a contract with you/your company, we will use your personal information as required for us to perform our contractual obligations under the relevant contract.


Compliance and protection. We may use personal information to comply with legal obligations, and to defend us against legal claims or disputes where it is in our legitimate business interests to do so, including to:

  • Comply with applicable laws, lawful requests, and legal process, such as to respond to subpoenas or requests from government authorities.
  • Protect our, your or others’ rights, privacy, safety or property (including by making and defending legal claims).
  • Audit our internal processes for compliance with legal and contractual requirements and internal policies.
  • Enforce the terms and conditions that govern our Services.
  • Prevent, identify, investigate and deter fraudulent, harmful, unauthorized, unethical or illegal activity, including cyberattacks and identity theft.


How we share your personal information


Service providers. We may share your personal information with third party companies and individuals that provide services on our behalf or help us operate our Services (such as lawyers, bankers, auditors, insurers, and providers that assist with hosting, analytics, email delivery, marketing, and database management).


Advertising partners. We may share your personal information with third party advertising companies, including for the interest-based advertising purposes described above, which may collect information on the Services through cookies and other similar technologies.


Authorities and others.  We may disclose your personal information to law enforcement, government authorities, and private parties, as we believe in good faith to be necessary or appropriate for the compliance and protection purposes described above.


Business transfers. We may sell, transfer or otherwise share some or all of our business or assets, including your personal information, in connection with a business transaction (or potential business transaction) such as a corporate divestiture, merger, consolidation, acquisition, reorganization or sale of assets, or in the event of bankruptcy or dissolution. Affiliates: We may share personal information with our current and future affiliates, meaning an entity that controls, is controlled by, or is under common control with us. Our affiliates may use the personal information we share in a manner consistent with this Privacy Policy.


Your instruction or permission. We share your personal information with other relevant third parties, where you give us permission to do so in the course of your relationship with us from time to time.



Cross-border processing of your personal information


As we are headquartered in the United States, your personal information will be processed in the United States. We may also transfer personal information to our affiliates and service providers located in the United States and other jurisdictions. Please note that these jurisdictions may not offer the same level of protection as the data protection laws in your home country.


If we transfer personal information across borders such that we are required to apply appropriate safeguards to personal information under applicable data protection laws, we will do so. These safeguards may include reliance on adequacy decisions issued by relevant authorities (such as the European Commission, the UK government, or other comparable regulators), or the use of legally recognized contractual protections for the transfer of your personal information. Your choices


Opt out of marketing communications. You may opt out of email communications by following the opt-out or unsubscribe instructions at the bottom of the emails we send you or by contacting us.

Personal information requests. Depending on your location and the nature of your interactions with our Services, you may request the following in relation to the personal information we process:

  • Information about how we have collected and process your personal information. We have made this information available to you without having to request it by including it in this Privacy Policy.

  • Access to a copy of the personal information that we process about you.

  • Portability of your personal information (i.e. to provide personal information in a portable, machine-readable, readily usable format to you or another third party you designate).

  • Correction of personal information that is inaccurate or out of date.

  • Deletion of personal information that we no longer need to provide the Services or for other lawful purposes.

  • Objection to us processing your personal information where we rely on our legitimate business interest to do so, where we use your personal information to either send you marketing communications or for interest based advertising purposes (see “How we use your personal information section” above).

  • Withdraw your consent to our processing of your personal information where we rely on your consent to process that personal information. This won’t affect anything we have used your personal information for before you withdraw your consent.

Prior to responding to your requests, we may verify your identity by matching any requested identifying information you provide against the information we have about you. Depending on your jurisdiction, you may designate an authorized agent to make a request on your behalf. We will require authorized agents to confirm their identity and authority, in accordance with applicable laws. You are entitled to exercise the rights described above free from discrimination.


Limits on your privacy rights and choices. In some instances, your choices may be limited, such as where fulfilling your request would impair the rights of others, our ability to provide a service you have requested, or our ability to comply with our legal obligations and enforce our legal rights. If you are not satisfied with how we address your request, you may submit a complaint by contacting us as provided in the “Contact Us” section below.


Right to complain. You have the right to lodge a complaint with a data protection regulator in the country where you live or work, or where you believe your data protection rights have been violated.


Right not to share your personal information. Where we are required by law to collect your personal information, or where we need your personal information in order to provide services to you, if you choose not to provide this information when requested (or you later ask to delete it), we may not be able to provide you with these services. We will tell you what information is necessary at the time of collection or through other appropriate means.

Data Retention


Your personal information will be retained only for the period of time necessary for the performance of the purposes described in this Privacy Policy, including to provide access to our Services, as well as where we have a legitimate business need to do so, such as where the retention is required in order to comply with our legal and contractual obligations; or to protect ourselves from any potential disputes.


To determine the appropriate retention period for personal information, we consider the amount, nature, and sensitivity of such information, the potential risk of harm from unauthorized use or disclosure of such information, the purposes for which we process such personal information and whether we can achieve those purposes through other means, any permissions you give us with regards to your personal information, and the applicable legal requirements.

Our Services may contain links to other websites, mobile applications, and other online services operated by third parties. These links are not an endorsement of, or representation that we are affiliated with, any third party. In addition, our content may be included on web pages or in mobile applications or online services that are not associated with us. We do not control third party websites, mobile applications or online services, and we are not responsible for their actions. Other websites and services follow different rules regarding the collection, use and sharing of your personal information. Security practices


We use reasonable organizational, technical and administrative measures designed to protect against unauthorized access, misuse, loss, disclosure, alteration and destruction of personal information we maintain. Unfortunately, data transmission over the Internet cannot be guaranteed as completely secure. Therefore, while we strive to protect your personal information, we cannot guarantee the security of personal information. In the event that we are required to notify you about a situation involving your data, we may do so by email or telephone to the extent permitted by law.


Children


Our Services are not intended for children, and we do not collect personal information from them. We define “children” as anyone under 18 years old. If we learn we have collected or received personal information from a child, we will delete the information. If you believe we might have any information from or about a child, please contact us via the contract information noted below.


Changes to this Privacy Policy


We reserve the right to modify this Privacy Policy at any time. If we make material changes to this Privacy Policy, we will notify you by updating the date of this Privacy Policy and posting it on our Services. We may also provide notification of changes in another way that we believe is reasonably likely to reach you, such as via e-mail (if you have an account where we have your contact information) or another manner through our Services.


Any modifications to this Privacy Policy will be effective upon our posting the new terms and/or upon implementation of the new changes on our Services (or as otherwise indicated at the time of posting). In all cases, your continued use of the Services after the posting of any modified Privacy Policy indicates your acceptance of the terms of the modified Privacy Policy.
